Michael's Message - Annual Meeting and Board Election, Pandemic-style!
About this time in a “normal year” we would have a “meet and greet” event to get to know any new candidates for the Board of Directors. About 2 weeks after that we would all be invited to come together in person in our main activity room, have some refreshments, listen to reports and speeches, and hear the election results in person. Ahh, the good old days!
However, since we are unable to meet this year due to Covid-19, we are presented with some challenges! The bylaws require us to have an election and an annual meeting each year, so what to do? To address these challenges and be able to function as a corporation, your Board of Directors has added a section to the Bylaws, as follows:
11.2 EMERGENCY POWERS AND PROCEDURES. In case of any official emergency declarations — made by the federal, state, or local government, and/or natural disasters, pandemics, acts of war, etc. — that affect the ability of the board to conduct business in person in accordance with these Bylaws, a quorum of the board, at their discretion, may call a regular or special meeting electronically by phone or computer, email, or any other means available to communicate, vote and conduct the business of the organization. Under such emergency circumstances the board may suspend, postpone, or change certain requirements of the Bylaws pertaining to elections, the annual meeting, and other business that must be conducted or matters decided upon.
At the conclusion of the emergency, and when the board can once again meet in person, the board shall resume full compliance with all aspects of the Bylaws, going forward from that point.
BOARD ELECTION – So what does this mean for this year’s board election?
Three incumbents have been vetted in the past, and are all qualified and willing to serve again for the three positions. None are prohibited from running due to term limits. (Limit is 2 consecutive full terms.) The bylaws do state that you must be a “senior member, 50 years or older”, so by voting you are affirming that you are a senior member. If there are two current Shipley Center members in a household who would both like to vote, please contact our office for a 2nd ballot.

Will be held via ZOOM at 3:00pm, Tuesday, October 27th. Please email email@example.com to receive an email invitation. Or call for Meeting ID and passcode, which will be available after October 20th. For online security reasons, ZOOM advises that organizations not publish passcodes widely ahead of an event.
